Terms of Service

1. Agreement to Terms

By accessing or using ClawBee ("Service"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms apply to your use of the ClawBee web app, APIs, and related services for deploying AI agents, managing bot wallets, configuring spending policies, and using plugin/integration features.

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into these Terms
• You are not prohibited from using the Service under applicable laws
• You will comply with all applicable laws and regulations

3. Account Registration and Security

To use certain features, you must create an account and keep your credentials secure. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access or security breach

4. Bot, Wallet, and Blockchain Terms

ClawBee provides infrastructure to deploy and manage AI agents with Web3 wallets. You understand and agree:

• Wallet access model: You may connect your own wallet and/or use wallets provisioned by ClawBee services. Session keys and policy controls are managed server-side for execution features.
• Spending policies: Spending limits and allowlists are enforced on-chain through smart contracts. You are responsible for configuring appropriate policies for your use case.
• Blockchain finality: Blockchain transactions are irreversible. Confirmed transactions cannot be reversed, canceled, or recalled by ClawBee.
• Gas and network fees: You are responsible for gas fees and other network costs associated with bot transactions.
• No financial advice: ClawBee provides software infrastructure only and does not provide investment, legal, accounting, or tax advice.

5. Fees, Billing, and Credits

Some features require payment (for example, subscriptions, add-ons, or top-ups). You agree to:

• Pay applicable fees for your selected plan and usage
• Provide current and valid payment details
• Authorize charges through our payment providers (such as Stripe and MoonPay flows where enabled)

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Engage in fraudulent, deceptive, or harmful activities
• Infringe upon the rights of others
• Distribute malware, viruses, or harmful code
• Attempt to gain unauthorized access to the Service or other systems
• Interfere with or disrupt the Service or servers
• Use bots for market manipulation, wash trading, or similar activities
• Facilitate money laundering or terrorist financing

7. Infrastructure and Third-Party Services

ClawBee operates on cloud infrastructure, including Amazon Web Services (AWS), and relies on third-party providers for key functions (such as authentication, payments, and external integrations).

Availability and performance may depend in part on those providers. ClawBee is not responsible for outages or failures caused by third-party services outside our reasonable control.

8. Privacy and Data Handling

Our Privacy Policy explains how we collect, use, store, and disclose information, including processing on AWS-backed infrastructure. By using the Service, you acknowledge the Privacy Policy.

9. Intellectual Property

The Service and its content, features, and functionality are owned by ClawBee and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free. You use the Service at your own risk, including risks associated with blockchain technology and cryptocurrency.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLAWBEE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

This includes but is not limited to losses arising from: bot malfunctions, smart contract vulnerabilities, blockchain network issues, unauthorized access to your account, or cryptocurrency price fluctuations.

12. Indemnification

You agree to indemnify, defend, and hold harmless ClawBee and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service or violation of these Terms.

13. Suspension and Termination

We may suspend or terminate your account and access to the Service when reasonably necessary, including for conduct that violates these Terms, creates legal or security risk, or harms other users, us, or third parties, or for any other reason.

Upon termination, you must withdraw any funds from your bot wallets where applicable. We are not responsible for any funds left in wallets after account termination.

14. Changes to Terms

We may modify these Terms from time to time. We will post updated Terms on the Service and update the "Last updated" date. For material changes, we may also provide additional notice (for example, by email). Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules.
